Litigation; Compliance with Applicable Laws and Rights. (i) There is no outstanding Order against, nor, except as set forth on Exhibit 3.1(i)(i), is there any litigation, proceeding, arbitration or investigation by any Governmental Authority or other Person pending or threatened against, the Company, its properties or its business or relating to the transactions contemplated by this Agreement, nor is there any basis for any such action.
