Litigation, Financial Statements Etc. (a) As of the date of execution of this Agreement, there are no litigation, arbitration or administrative proceedings or industrial or labour disputes outstanding and, to its knowledge after having made reasonable inquiry, there are no proceedings or disputes pending or threatened, against it which, in either case, could constitute a Material Adverse Change, except as disclosed on Schedule J.
