The 'Litigation; No Consent' clause establishes that a party does not need to obtain the other party's approval before initiating legal proceedings. There is no pending or, to Development Manager’s knowledge, threatened litigation or administrative proceedings which could materially and adversely affect the ability of Development Manager to perform any of its obligations hereunder. No consent or approval of any person or entity or of any governmental authority is required with respect to the execution and delivery of this Agreement by Development Manager or the consummation by Development Manager of the transactions contemplated hereby or the performance by Development Manager of its obligations hereunder.
