Litigations and Proceedings Clause Samples

Litigations and Proceedings. To the Knowledge of NovaMed, there are no claims counterclaims, actions, suits, orders, proceedings (arbitration, mediation or otherwise), investigations or judgments pending or, threatened, relating to the transactions contemplated hereby, at law or in equity, in any court or agency, or before or by any Governmental Authority.

Litigations and Proceedings. ‌ No claims, lawsuits, actions or investigations or legal, administrative, arbitration or other proceedings (including but not limited to liquidation, receivership and other similar proceedings) have been or are pending or, to the Company’s Knowledge, threatened against the Group. No reclamations, complaints or objections giving rise to such claims, lawsuits, actions, investigations or proceedings have been presented in writing to the Group, other than customary reclamations in the Ordinary Course of Business, none of which as at the date of this Agreement has a monetary value in excess of EUR 50,000.

Litigations and Proceedings. There are no actions, suits, proceedings, or investigations pending or, to the knowledge of FMI after reasonable investigation, threatened by or against FMI or affecting FMI or its properties and assets, at law or in equity, before any court or other governmental agency or instrumentality , domestic or foreign, or before any arbitrator of any kind. FMI does not have any knowledge of any material default on its part with respect to any judgment, order, injunction, decree, award, rule or regulation of any court, arbitrator, or governmental agency or instrumentality.

Litigations and Proceedings. Except as set forth on Schedule 3.5, other than the pending Patent Litigation there are no actions, suits, investigations, claims, or proceedings threatened, pending, or in progress relating in any way to the Company or the Patents. The Company has not received any notice and is not otherwise aware of any claim of a right or interest of any third party, the effect of which if determined adversely, is or would be to reduce, impair or otherwise materially and prejudicially affect the Patent Litigation. The Company is not in default with respect to any judgment, decree, injunction or order of any court, administrative agency or other instrumentality.

Litigations and Proceedings. Within the past three years, no material claims, lawsuits, actions, or investigations or legal, administrative, arbitration or other proceedings (including but not limited to liquidation, receivership and other similar proceedings) have been or are pending or, to the Best Knowledge of Company Management, threatened against, or involve the Company or any of its Group Companies or any member of top management. To the Best Knowledge of Company Management, no circumstances giving rise to such claims, lawsuits, actions, investigations, or proceedings have arisen.
