Common use of Loans and Other Business Transactions Clause in Contracts

Loans and Other Business Transactions. Any Member may, at any time, make or cause to be made a non-recourse loan to the Company in any amount and on those terms upon which the Member making such non-recourse loan and the Company may agree in writing. Acceptance by the Company of any such Loan provided by a Member requires the prior unanimous consent of the Members. Any Member may also transact other business, subject to the requirement provided in Section 5.3.4, with the Company and be an employee or independent contractor of the Company and, in doing so, it shall have the same rights and be subject to the same obligations arising out of any such business transaction or employment or consultant relationship, as would be enjoyed by and imposed upon any Person, not a Member, engaged in a similar business transaction with the Company.
