Common use of Loans to Executive Officers and Directors Clause in Contracts

Loans to Executive Officers and Directors. Except as disclosed in Section 5.20 of the Buyer Disclosure Memorandum, the Buyer has not, since its inception, extended or maintained credit, arranged for the extension of credit, or renewed an extension of credit, in the form of a personal loan to or for any director or executive officer (or equivalent thereof) of the Buyer, except as permitted by Section 13(k) of the Exchange Act and Federal Reserve Regulation O. Section 5.19 of the Buyer Disclosure Memorandum identifies any loan or extension of credit maintained by the Buyer after January 1, 2003 to which the second sentence of Section 13(k)(1) of the Exchange Act applies or would apply if the Buyer were subject to such Section.
