Common use of Local Custom Clause in Contracts

Local Custom. Notwithstanding anything herein to the contrary, if requested by the Required Banks, all Loans made hereunder shall be made in compliance with local market custom and legal practice as determined solely by the Agent, whether or not such custom and legal practices have the force of law.

Notwithstanding anything herein to the contrary, if requested by the Required Majority Banks, all Loans made hereunder shall be made in compliance with applicable local market custom and legal practice as determined solely by the AgentMajority Banks, whether or not such custom and legal practices have the force of law; provided, that, the Agent shall consult with the Company regarding compliance with local custom and legal practice if such custom or legal practice does not have the force of law.
