Local Operations. All business performed by the Manager related to the City’s parking facility and on-street parking enforcement operations are to be conducted in one of the City’s Parking Management Offices listed in the definition of parking garage. The Manager’s central location for conducting parking facility business shall be at the Parking garage. Manager shall have thirty (30) calendar days from the execution of this contract with the City of Durham to open and conduct operations in the Parking Management Offices. All payments, bookkeeping, receipt of applications for accounts, receipt of payments, auditing, and management related to the management of the City’s off-street and on-street parking enforcement shall be conducted in one of the Parking Management Offices. The Manager is to provide the address, telephone number, and name of manager in the Durham office.
Local Operations. A local truckaway operation is the operation of a driver of truckaway equipment making a continuous round trip or portion within a one hundred (100) mile radius to any point or points without a layover period.
Local Operations. Bird shall provide name and contact information for representative to the City within thirty (30) days after execution of this agreement.
Local Operations. MMI will open a local operations facility in Grand Rapids, Minnesota to support the Project. The Parties shall work together to identify and obtain suitable local operations real estate as set forth below.
8.1 The office component of the local operations facility will contain real-time data and mapping of the vehicles, as well as audio connections between the facility and AVOs in each vehicle on route, as well as parking spaces and garage space containing necessary charging equipment and parking spaces to maintain the route service vehicles, including servicing any technical or other issues as well as transporting data and feedback from the vehicles. The local operations facility teams will further develop the implementation of standard operating procedures for vehicles and staff, and manage the consistent monitoring of status of the vehicle via video and audio streams.

Local Operations. (a) During the period commencing after the Closing and ending on the Termination Date (as defined herein) with respect to such Deferred Jurisdiction, subject to the terms of this Agreement and the Acquisition Agreements, the Communications Business in the jurisdictions listed on Exhibit A and solely with respect to any Deferred Newco Employees (as defined herein) in any other jurisdictions in which Newco Employees have not been transferred to the Purchaser or its Subsidiaries or the Newco Group at the Closing, such other jurisdictions (each such jurisdiction, a “Deferred Jurisdiction”; and the business and operations in each such jurisdiction, the “Local Operations”) shall continue to be operated for the benefit and burden of the Purchaser in accordance with Section 1.08(b) of the Distribution Agreement. Notwithstanding the foregoing, this Article I shall not apply with respect to any Delayed Transfer Newco Employee (as defined in the Employee Matters Agreement), or with respect to any Newco Employee who has rejected the transfer to the Newco Group or the Purchaser or any of its Subsidiaries, as applicable.
(b) Until the Termination Date with respect to each Deferred Jurisdiction: (i) the Seller shall use, and shall cause its applicable Subsidiaries to use, commercially reasonable efforts to conduct the Local Operations in each Deferred Jurisdiction in the ordinary course in all material respects; and (ii) other than in connection with conveying the Local Operations to the Purchaser at the Deferred Closing, neither the Seller nor its applicable Subsidiary(ies) shall take any actions that would be prohibited by Section 4.2 of the Merger Agreement, in each case solely with respect to the Local Operations, if such provisions were to apply to the Seller or such Subsidiary(ies) until the Termination Date with respect to such Deferred Jurisdiction (the “Restricted Activities”); except, in the case of (i) and (ii), (w) as otherwise contemplated in the Acquisition Agreements or any other Transaction Documents, (x) to the extent needed to take into account the closing of the transactions contemplated by the Transaction Documents, (y) as required by applicable Legal Requirements or (z) with the Purchaser’s prior written approval (which consent shall not be unreasonably withheld, conditioned or delayed). Local Operations. The parties acknowledge that Vendor may utilize independent business logistics providers to facilitate local operations. Vendor’s use of these logistics providers does not constitute a transfer or assignment of this Agreement, and Vendor remains responsible for all obligations and requirements under this Agreement.
