Common use of Localisation and change of manufacturing process Clause in Contracts

Localisation and change of manufacturing process. 4.8.1. The Parties shall cooperate to localize all or part of the manufacturing of the Goods and/or performance of any portion of the Services in areas enabling the Supplier to maintain or improve its competitiveness. 4.8.2. In case the Purchaser sets special conditions under the Contract, with respect to localization/local content of all or part of themanufacturingof the Goodsor performanceof all or part of the Services, the Purchaser shall inform, as soon as possible, the Supplier in order to prepare a common proposal to satisfy said requirements. The Supplier shall provide details of prices so that all aspects can be examined by the Purchaser and improved in the interest of both Parties. 4.8.3. In case of a modification of the production localization and/or the manufacturing process of the Goods or performance of whole or part of the Services initiated by the Supplier, it shall notify the Purchaserin writing eighteen (18) monthsprior to theintendedmodification. No such modification shall be implemented without the prior written authorization from the Purchaser andfurther re-qualification of the Goods. The Supplier shall keep a clear traceability of the manufacturing process related to the Goods before and after authorized modification.
