Common use of Location of Offices Clause in Contracts

Location of Offices. The Borrower’s location (within the meaning of Article 9 of the UCC) is Delaware. The office where the Borrower keeps all the Records is at the address of the Borrower referred to in Section 13.2 hereof (or at such other locations as to which the notice and other requirements specified in Section 5.2(g) shall have been satisfied). The Borrower’s Federal Employee Identification Number is correctly set forth on Exhibit F-1. The Borrower has not changed its name, whether by amendment of its certificate of formation, by reorganization or otherwise, and has not changed its location within the four months preceding the Closing Date.

The Borrower has not changed its name, name (whether by amendment of its certificate of formation, by reorganization or otherwise, ) or its jurisdiction of organization and has not changed its location within the four (4) months preceding the Closing Date.
