Long Lead-Time Components. As Handspring's strategic materials management partner, Flextronics may be required to purchase Long Lead Time Components in order to achieve the schedule flexibility requirements identified in Section 3.2. For the purposes of this Agreement, "Long Lead Time Components" shall mean components, subassemblies, materials and supplies with lead times greater than ninety (90) days at the time an order is placed. At the time of this Agreement, no components, subassemblies, materials or supplies have lead times greater than ninety (90) days. During the term of this Agreement, if any lead times for components, subassemblies, materials or supplies exceed ninety (90) days due to changes in market conditions, Flextronics may reasonably purchase minimum lot sizes from suppliers ("Minimum Order Inventory"), even if greater than the amount necessary to meet purchase orders, in order to ensure the schedule flexibility requirements identified in Section 3.2 are achieved. Flextronics will notify Handspring in writing if lead times for any components, subassemblies, materials or supplies exceed ninety (90) days and will quantify how much additional cancellation liability Handspring will incur above and beyond the cancellation liability terms defined in Section 3.3. If lead times for components, subassemblies, materials or supplies do not exceed ninety (90) days during term of this Agreement, or any extensions thereof, Flextronics and Handspring agree to abide by the reschedule flexibility and cancellation liability terms defined in Sections 3.2 and 3.3.

Long Lead-Time Components. (a) The Parties acknowledge that certain Strategic Components and Non-Strategic Components may be subject to ordering lead times in excess of eight (8) weeks ("Long Lead Time Components"). If Venture must order any Long Lead Time Components in order to be able to fulfill any portion of a Forecast that lies outside of the Committed Period, Venture may notify Iomega of the situation and Iomega may, in its sole discretion, authorize Venture to order the necessary Long Lead Time Components. During the term of this Agreement, if any lead times for components, subassemblies, materials or supplies exceed forty (40) days due to changes in market conditions, TDP may reasonably purchase minimum lot sizes from suppliers (“Minimum Order Inventory”), even if greater than the amount necessary to meet purchase orders, in order to ensure the schedule flexibility requirements identified in Section 7.3 are achieved. TDP will notify Back 2 Health quarterly in writing if lead times for any components, subassemblies, materials or supplies exceed forty (40) days and will quantify how much additional cancellation liability Back 2 Health will incur above and beyond the cancellation liability terms defined in Section 7.3. If lead times for components, subassemblies, materials or supplies do not exceed ninety (90) days during the term of this Agreement, or any extensions thereof, TDP and Back 2 Health agree to abide by the reschedule flexibility and cancellation liability terms defined in Section 7.3.
Long Lead-Time Components. Upon Buyer’s request, Seller agrees to stock additional raw materials with long lead times to meet anticipated demand. Any such requests will be paid by seller upon presentation of the request, with such amount to be deducted from future invoices from Seller to Buyer. Buyer will be financially responsible for any raw materials ordered by or on behalf of Buyer related to any additional such request, and will reimburse Seller for any such raw materials which Seller cannot use due to termination of any Purchase Order of this Agreement.
Long Lead-Time Components. The parties will mutually agree upon a list of Long Lead Time Components and Materials to be attached as Exhibit B. Thereafter, A-Plus will provide Customer with any updates to the list of Long Lead Time Components and Materials. Customer shall review the such list on a quarterly basis and, following such review, the parties shall agree in writing on which Long Lead Time Components and Materials A-Plus may purchase on behalf of Customer in accordance with this Section 5.2. A-Plus may purchase Long Lead Time Components based on Customer's Forecast but in quantities no greater than necessary to fill orders projected in Customer's Forecast and not in advance of the lead time actually necessary to enable A-Plus to fill the projected orders identified in the Forecast.

Long Lead-Time Components. Lead times for all Components are provided in Product Quotations accepted by Hyperfine. Each revised Components lead time designation shall supersede the preceding one. In the event Manufacturer fails to present an updated designation of Components lead times, the Parties shall continue to rely on the preceding designations.
