Long Stop Date. Subject to Clause 3.3, the Company and the Founders shall use best endeavours to ensure that all the Conditions Precedent are completed to the satisfaction of each of the Investors and Closing shall occur on or before the end of 60 (sixty) days from the Execution Date or such extended period as the Investors and the Company may mutually agree (“Long Stop Date”), failing which, this Agreement may be terminated by any of the Investors with respect to itself, as provided in Clause 7.1.
Long Stop Date. The date which is 1 calendar month from the date of this Agreement.

(a) The Developer will achieve Project Completion by the Long Stop Date.
Long Stop Date. If the Effective Date has not occurred on or before the date falling 10 Business Days after the date of this letter, then the provisions of this letter shall cease to have effect.
Long Stop Date.
(a) Unless FBR grants upon a prior written request of the Concessionaire an extension in the Project Completion Schedule for verifiable and justifiable reasons suggesting and proving the inability of the Concessionaire to complete the Project as per Project Completion Schedule, the Concessionaire shall be bound to achieve the completion of, and entry into the commercial operations of, the Project within [•] Days from the service of notice under Section 14.5.
(b) Failure of the Concessionaire to achieve the completion and entry of the Project into the commercial operations within [•] Days or on or before the period of extension shall entitle FBR to terminate the Agreement under Section 21 (Termination) of the Agreement, unless such delay, default or breach has not been occasioned due to the factors of Force Majeure necessitating the Relief Events.
Long Stop Date. In the event that any condition to the Closing hereunder is not fulfilled or waived within sixty (60) days of the signing of this Agreement, this Agreement shall terminate. Notwithstanding any termination of this Agreement, the obligations of the parties specified in Article 8 shall continue unimpaired and in full force and effect, and such termination shall not relieve any party from any liability hereunder for any misrepresentation or for the breach of any warranty, agreement or obligation hereunder.
Long Stop Date. The Merger shall not have been consummated on or before December 31, 2014 (the “Termination Date”); provided that the right to terminate this Agreement pursuant to this Section 8.02(a) shall not be available to any Party whose failure to fulfill any of its obligations under this Agreement has been a cause of, or resulted in, the failure to consummate the Merger by such date; or
Long Stop Date. If the conditions precedent set out in Section 3 of this Agreement have not been fulfilled or waived on or before May 13, 2016, the rights and obligations of the Company and Large Scale under this Agreement shall lapse and be of no further force and effect and neither party shall have any liability under this Agreement (without prejudice to the rights of the parties hereto in respect of any antecedent breaches of this Agreement).
Long Stop Date. Unless otherwise agreed by the Parties hereto, if the Closing Conditions are not satisfied or waived on or prior to 30 September 2011, the Purchaser or the Seller may, in its sole discretion, terminate this Agreement by notice to the other, and no Party shall have any claim against the other save for any claim arising from breach of any obligation contained in Clause 4.2, provided that no such termination notice may be given by a Party which is in default of its obligations under this Agreement.
Long Stop Date. In any event, Closing Date should occur by or before the Long Stop Date. If Closing Date has not occurred by or before the Long Stop Date, this Agreement will automatically terminate as between the Parties without any Party having the right to claim for any damages against any of the other Parties.
