No payment has been made by Seller, or by a Person acting on Seller’s behalf, to any Person (other than to any bona fide employee or agent of Seller, as defined in subpart 3.4 of the FAR) which is or was improperly contingent upon the award of any Government Contract or which would otherwise be in violation of any applicable procurement law or regulation or any other applicable laws.
