Lucent Breach. If Lucent fails to fulfill one or more of its material obligations under this Agreement, Agere may, upon its election and in addition to any other remedies that it may have, at any time terminate this Agreement by not less than sixty (60) days written notice to Lucent specifying any such breach, unless within the period of such notice all breaches specified therein have been remedied to the non-breaching Party's reasonable satisfaction. If the breach is not one which is capable of being cured within sixty (60) days and the breaching Party has commenced to cure and remedy the breach within such time and continues to do so diligently and in good faith, then the breaching Party shall be granted an extension for a reasonable period of time at the discretion of the non-breaching Party.
