Common use of Machinery of government Clause in Contracts

Machinery of government. The State may, at any time by notice to the Organisation, transfer the management of this Agreement from the State agency or department stated in Item 2 of Schedule 1 to another department or agency of the State of Queensland. If the State gives notice to the Organisation under clause 19.1: the State will provide the Organisation with an updated Contact Person, Delegate and Address for Notices; and from the date of that notice that other department or agency of the State will assume the responsibilities and rights of the State of Queensland as if it were a party to this Agreement. If the Organisation is comprised of two (2) or more parties, those parties comprising the Organisation agree that they will be jointly and severally liable: for the performance of the Organisation’s obligations under this Agreement; and to the State for any Claims suffered or incurred by the State in connection with this Agreement including the Initiative, the Sponsorship Fee and the In-Kind Support. The laws of Queensland apply to this Agreement. Each party submits to the jurisdiction of the courts of Queensland.
