Magicolor Agreements. The following agreements shall have been executed, effective as of Closing: (i) rights of first refusal, substantially in the forms attached hereto as Exhibit B(i) and Exhibit B(ii), between each of ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇. ▇▇▇▇▇ and ▇▇▇▇▇ in respect of their ownership interest in Magicolor; and (ii) an option agreement, substantially in the form attached hereto as Exhibit C, between Seller and ▇▇▇▇▇ granting ▇▇▇▇▇ an option to purchase Seller's interest in Magicolor.
