Common use of Mahindra JV Royalties Clause in Contracts

Mahindra JV Royalties. If Navistar or any of its Affiliates is contractually obligated pursuant to the Mahindra JV Agreement and actually pays the Mahindra JV royalties as a direct result of the sale and distribution by the Company of Medium Duty XXX Trucks in the ROW, the Company shall reimburse Navistar on an annual basis (within thirty (30) calendar days following the Company’s receipt of reasonably satisfactory evidence from Navistar verifying such payment) for fifty-one percent (51%) of such royalties actually paid by Navistar to the Mahindra JV during the prior fiscal year of the Mahindra JV.
