MAILKEY CORPORATE ACTION; MAILKEY SHAREHOLDER CONSENT. (a) On or before the Closing, Shareholder, the holder of more than 50% of the votes of the MailKey Shareholders, having accepted Acquiror's offer to acquire all of the MailKey Capital Stock by way of merger as contemplated in this Agreement (the "QUALIFYING OFFER"), pursuant to Regulation 105 of the Articles of Association of MailKey, will have notified the "Other Shareholders" (as defined in Regulation 107 of the Articles of Association) of their intention to accept such Qualifying Offer (the "WRITTEN NOTICE"), and such Written Notice shall be effective. The MailKey Shareholders will therefore be bound to accept such Qualifying Offer.
