Maintain Corporate Existence and Due Qualification. Parent shall preserve and maintain its corporate existence and good standing in the State of Delaware and qualify and remain qualified as a foreign corporation in each jurisdiction in which such qualification is required. Each Subsidiary shall preserve and maintain its corporate existence and good standing under the laws of the jurisdiction of its incorporation.
