MAINTAIN RIGHTS AND FACILITIES. The Company shall maintain and preserve its corporate existence and all permits, rights and franchises necessary to the conduct of its business in full force and effect and adequate for its business as presently conducted and proposed to be conducted. The Company shall maintain complete and exclusive ownership of, but shall have the right to license or sublicense, its patents, trademarks, trade names, service marks, and other proprietary rights.
