Maintenance and Compliance, etc. The Company will and will cause each of its Subsidiaries to (i) except as permitted by Section 5.04(c) and except with respect to Unrestricted Subsidiaries, preserve and maintain its corporate existence, and (ii) except where failure to do so could not reasonably be expected to have a Material Adverse Effect, observe and comply with all Governmental Requirements.
