MAINTENANCE BY LESSEE. Lessee shall maintain and replace any plate glass, windows, glass doors, or other glass in the building. Lessee shall conduct a continuing program of preventive maintenance covering the walls, roof, doors, windows, interior and exterior of the Premises, and all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems in the Premises, including but not limited to regular service and maintenance by competent tradesmen. Lessee shall be solely responsible for the care, control and maintenance of inside air quality in the Premises. Lessee shall not permit any waste of the Premises. At the expiration or other termination of this Lease, Lessee shall return the premises to Lessor in a clean condition and in as good condition as when received by Lessee, except only for normal wear and use, damage by fire, explosion or other insured casualty. Lessee shall, at its expense, keep the sidewalks, parking lots, and lawns and landscaped areas of the Premises in a clean condition from debris. Lessee shall, at its expense, maintain in good repair the parking lot and sidewalk areas. Lessee shall, at its expense, provide for snow and ice removal, grass mowing, and landscaping maintenance. If Lessee fails to do anything required of Lessee in this paragraph within a reasonable time, Lessor may, at Lessor's option, perform the same at Lessee's expense.

Provided, however, at Lessor’s option, Lessor may contract for the preventative maintenance of the heating, ventilating and air conditioning, electrical systems, communication and data transfer systemsconditioning system for the benefit of Lessee, and mechanical systems in Lessee hereby agrees to pay Lessor’s contractor or to Lessor, the Premisestotal annual cost of such maintenance as soon as such sum is determined and billed to Lessee. Lessee shall, Lessor may at its expense, maintain option undertake such maintenance and repairs and charge Lessee for its expense in good repair the parking lot and sidewalk areas. LESSEE shall provide preventative maintenance by competent tradesmento the heating and air conditioning equipment and system. Lessee LESSEE will provide and maintain vermin-proof receptacles for LESSEE’s own use in the event refuse is temporarily stored outside of the Demised Premises, and LESSEE will be responsible for the removal of said refuse and will promptly and strictly comply with all health, sanitary or other laws, regulations and ordinances pertaining to the depositing and removal of such refuse from or about the Demised Premises. Such receptacle shall be solely responsible for the carein such areas, control and maintenance of inside air quality if any, designated by LESSOR in LESSOR’s reasonable discretion, such areas to be reasonably near the Premises. Lessee shall LESSEE will not permit any waste use the Common Areas or other area outside of the Premises to store any pallets, cartons, equipment or other materials except solely for the limited equipment approved for outside storage as specifically set forth on Exhibit D. LESSEE further agrees to be responsible for sweeping and cleaning the Demised Premises. At LESSEE will maintain, repair and replace when necessary, the expiration air conditioning, plumbing, gas and electrical appurtenances and fixtures in the Demised Premises, and LESSEE will enter into and keep in force throughout the Lease Term a HVAC maintenance contract with a HVAC maintenance contractor reasonably acceptable to LESSOR. LESSOR will not be liable to LESSEE or any other termination persons whomsoever for injury or damage to persons or property received on or incidental to the use of said Demised Premises during the Term of this Lease, Lessee and LESSEE will indemnify, defend and save harmless LESSOR from and against any loss, claim, expense or liability in connection therewith including LESSEE’s failure to repair unless caused by the gross negligence or willful misconduct of LESSOR or LESSOR’s agents, employees, contractors or representatives. LESSEE shall return not be required to make any capital replacements during the premises to Lessor final nine (9) months of the Lease Term. LESSEE shall throughout the Lease Term take good care of the Demised Premises and keep them free from waste, and shall deliver up the Demised Premises broom-clean at the termination of this Lease in a clean at least the condition and in as good condition as when received by Lesseewhich they were in on the Commencement Date, except only for normal (reasonable wear and usetear, damage casualty and condemnation excepted). In the event LESSEE should fail to maintain the Demised Premises as required hereunder and such failure continues for more than thirty (30) days after written notice from LESSOR, LESSOR shall have the right (but not the obligation) to cause repairs or corrections to be made and any out of pocket third party costs thereof shall be payable by fire, explosion or other insured casualty. MAINTENANCE BY LESSEE. Lessee shall, at its Lessee’s sole expense, maintainkeep the Leased Premises and all improvements of any kind, which may be existing at the commencement of the Lease Term in good repair, cleancondition and appearance. Lessee specifically acknowledges its obligations, and at its sole expense, to keep in good care repair, condition and appearance the foundation, roof, exterior walls and structural portions of the interior walls of the hangars located on the Leased Premises. Lessee shall keep mowed and in a sightly condition all landscaping and grass areas within the entire Lease Premises. MDC shall be the sole judge of the quality of Lessee’s maintenance; provided, however, MDC shall not unreasonably withhold acceptance of said repairs or maintenance. Upon written notice by MDC to Lessee, Lessee shall be required to perform such reasonable maintenance under this Article 6.01, as MDC considers necessary. If Lessee does not undertake such maintenance within ten (10) business days after receipt of written notice. MDC shall have the right to enter on the Leased Premises and appurtenances theretoperform the necessary maintenance, the cost of which shall be borne by Lessee. Other items of maintenance for which Lessee shall be solely responsible shall include, but not be limited to, the following:
(a) Janitorial services, providing janitorial supplies, window washing, rubbish and trash removal;
(b) Supply and replacement of light bulbs in and on all buildings (except lighting removed for causing obstructions or glare);
(c) Replacement of cracked or broken glass in all buildings;
(d) Cleaning of interior stoppages in interior plumbing fixtures and drain lines up to the first manhole or clean out outside of the exterior of the building where the stoppage occurred;
(e) Replacement of floor covering;
(f) Maintenance of all doors and door operating systems, including weather stripping and glass replacement;
(g) Painting, repairing and replacement of interior walls not resulting from structural failure;
(h) Landscaping and grass cutting services within the Leased Premises, including, but not limited to, repair or replacement of exterior building flood lights and planter lights;
(i) Repair or replacement of heating, air conditioning, ventilation, electrical, plumbing, or mechanical systems, or their respective components (Lessee shall provide for such repairs by procuring annual maintenance contracts requiring quarterly status reporting from MDC-approved third-party vendors, with said contracts and any maintenance reports to be promptly provided to MDC within thirty (30) days of completion); and
(j) Maintenance of all aprons, ramps, and roadways that are constructed by Lessee. Subject to the interior provisions of Article 5.05, on the last day of the term hereof, or on any earlier termination, Lessee shall surrender the Leased Premises to MDC in the same condition, except for fire and casualty, ordinary wear and tear, clean and free of debris. All material repairs and material maintenance described in this Article shall be performed only by contractors and subcontractors approved in writing by Landlord (which approval will not be unreasonably withheld or delayed). Lessee shall cause all contractors and subcontractors to procure and maintain insurance coverage against such risks, in such amounts, and with such companies as Landlord may reasonably require, and to procure payment and performance bonds reasonably satisfactory to Landlord covering the cost of the repairs and maintenance. All such repairs and maintenance shall be performed in accordance with all laws and in a good and workmanlike manner so as not to damage the buildings (including the Premises, the exterior of the Premisesroof, the roof of structural elements, and the Premisesplumbing, all doors electrical lines, or other utility transmission facility). All such repairs and windows of maintenance that may affect the Premisesbuildings’ HVAC, all heating, ventilatingelectrical, plumbing, air conditioning, electrical systems, communication and data transfer systems, and other mechanical systems, all structural aspects of the Premises, interior and exterior walls, parking lots, sidewalks, landscaping, and shall keep the same in good repair free from filth, mold, overloading, danger of fire, nuisanceroof, or infestation of pests or vermin. Lessee shall maintain and replace any plate glassstructural elements must be approved by MDC, windows, glass doors, or other glass in the building. Lessee shall conduct a continuing program of preventive maintenance covering the walls, roof, doors, windows, interior and exterior of the Premises, and all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems in the Premises, including but not limited to regular service and maintenance by competent tradesmen. Lessee shall be solely responsible for the care, control and maintenance of inside air quality in the Premisesat Lessee’s expense. Lessee shall not permit any waste of the Premises. At the expiration or other termination of this Lease, Lessee shall return the premises mechanic’s liens to Lessor in a clean condition and in as good condition as when received by Lessee, except only for normal wear and use, damage by fire, explosion or other insured casualty. Lessee shall, at its expense, keep the sidewalks, parking lots, and lawns and landscaped areas be filed against any portion of the Premises in for any work performed, materials furnished, or obligation incurred by or at the request of Lessee. Lessee’s failure to comply with this requirement shall constitute a clean condition from debris. Lessee shall, at its expense, maintain in good repair the parking lot and sidewalk areas. Lessee shall, at its expense, provide for snow and ice removal, grass mowing, and landscaping maintenance. If Lessee fails to do anything required default of Lessee in this paragraph within a reasonable time, Lessor may, at Lessor's option, perform the same at Lessee's expenseSublease.

MAINTENANCE BY LESSEE. Lessee shall, at its expense, maintain, repair, clean, and keep in good care and condition the entire Premises and appurtenances thereto, including but not limited to, the interior of the Premises, the exterior of the Premises, the roof of the Premises, all doors and windows of the Premises, all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems, all structural aspects of the Premises, interior and exterior walls, parking lots, sidewalks, landscaping, and shall keep the same in good repair free from filth, mold, overloading, danger of fire, nuisance, or infestation of pests or vermin. The Lessee shall maintain be wholly responsible for the maintenance, repair and replace any plate glass, windows, glass doors, or other glass in the building. Lessee shall conduct a continuing program of preventive maintenance covering the walls, roof, doors, windows, interior and exterior replacement of the Premises, and all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems in the Premises, including but not limited to regular service and maintenance by competent tradesmen. Lessee shall be solely responsible for the care, control and maintenance of inside air quality in the Premises. Lessee shall not permit any waste of the Premises. At the expiration or other termination of this Lease, Lessee shall return the premises to Lessor in a clean condition and will keep it in as good condition as when received originally occupied by Lessee, except only for normal reasonable wear and use, tear and damage by firefire and the elements excepted; and will keep it in an orderly, explosion clean and sanitary condition as required by laws and ordinances applicable thereto; will neither do nor permit to be done therein anything which is in violation of the terms of insurance policies on said building or other insured casualtythe laws or ordinances applicable thereto; will neither commit nor suffer waste in said Premises and will pay for all glass, broken by its fault or another’s, negligence or the fault or negligence of its employees, invitees, customers or agents. It is agreed that the obligations of the Lessee hereunder shall extend to all parts or portions of the Premises including glass, entrance and overhead garage doors and related hardware, and including all portions of the heating, air conditioning, plumbing, sprinklers, electrical and mechanical fixtures, equipment, connections and appurtenances. Lessee shall, shall at its expense, all times keep the sidewalks, parking lots, and lawns and landscaped areas of the Premises in a neat and clean condition and free from debrisgarbage, ashes, waste and accumulation of rubbish or filth, and all garbage, waste, and rubbish shall be removed promptly by Lessee at its own expense. Lessee shall, at its expense, maintain in good repair shall keep the parking lot sidewalks directly adjoining the Premises swept and sidewalk areas. Lessee shall, at its expense, provide for free from ice and snow and ice removal, grass mowing, and landscaping maintenanceother obstructions. If In the event the Lessee fails to do anything perform any act required of Lessee in under this paragraph within a reasonable timeLease after receiving written notice from Lessor, the Lessor may, at Lessor's optionin addition to any other remedy provided herein, perform or satisfy the same obligation of Lessee which is in default and the reasonable cost thereof shall become an amount immediately due from Lessee to the Lessor with interest thereon at Lessee's expenseten percent (10%) per annum until paid.
