Maintenance of Corporate Existence, etc. The Company shall maintain and shall cause each subsidiary, if any, to maintain in full force and effect (i) its corporate existence, rights and franchises and all licenses, privileges and other rights in or to use patents, processes, licenses, trademarks, trade names or copyrights owned or possessed by it or any subsidiary and shall obtain and maintain any such right, franchise, license or privilege deemed by the Company to be necessary on the date hereof or in the future to the conduct of their business without any conflict with any business in or rights of others to use such patents, processes, licenses, trademarks, trade names or copyrights and (ii) its qualification to do business in each jurisdiction in which the character of its properties (owned, leased or licensed) or the nature of its business requires such qualification, except where the failure to so qualify would not have a material adverse effect upon the business or operations of the Company or such subsidiary, as the case may be.
