Common use of Maintenance of D&O Insurance Clause in Contracts

Maintenance of D&O Insurance. The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding by reason of the fact that the Indemnitee was an agent of the Company, the Company, subject to Section 3(c), shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers.

The Company hereby covenants and agrees thatshall, so long as the Indemnitee shall continue to serve as an agent of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding by reason of the fact that the Indemnitee was an agent of the Company, the Company, subject to Section 3(c)9(c) below, shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) Insurance in reasonable amounts from established and reputable insurers.

(a) The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent officer or director of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding by reason for a period of the fact that the Indemnitee was an agent of the Companythree years, the Company, subject to Section 3(c6(c), shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers.

The Company Corporation hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent Agent of the Company Corporation and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent Agent of the CompanyCorporation, the CompanyCorporation, subject to Section 3(c3(d), shall promptly obtain and maintain in full force and effect directors’ ' and officers’ ' liability insurance (“"D&O Insurance”") in reasonable amounts from established and reputable insurers, as more fully described below.

The Company Corporation hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent Agent of the Company Corporation and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent Agent of the CompanyCorporation, the CompanyCorporation, subject to Section 3(c), shall promptly obtain and maintain in full force and effect directors’ ' and officers’ ' liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers, as more fully described below.

The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent officer of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent officer of the Company, the Company, subject Company shall use commercially reasonable efforts to Section 3(c), shall promptly obtain and maintain cause to be maintained in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers.

The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent Agent of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent Agent of the Company, the Company, subject to Section 3(c), Company shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers, as more fully described below.

The Company Corporation hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent Agent of the Company Corporation and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent Agent of the CompanyCorporation, the CompanyCorporation, subject to Section 3(c3(d), shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers, as more fully described below.

The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding by reason of the fact that the Indemnitee was an agent of the Company, the Company, subject to Section 3(c2(c), shall promptly obtain and maintain in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers.

Maintenance of D&O Insurance. The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent a director of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent a director of the Company, the Company, subject Company shall use commercially reasonable efforts to Section 3(c), shall promptly obtain and maintain cause to be maintained in full force and effect directors’ and officers’ liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers.

The Company hereby covenants and agrees that, so long as the Indemnitee shall continue to serve as an agent Agent of the Company and thereafter so long as the Indemnitee shall be subject to any possible proceeding Proceeding by reason of the fact that the Indemnitee was an agent Agent of the Company, the Company, subject to Section 3(c), shall promptly obtain and maintain in full force and effect directors’ ' and officers’ ' liability insurance (“D&O Insurance”) in reasonable amounts from established and reputable insurers, as more fully described below.
