Common use of Maintenance of Dominion Accounts Clause in Contracts

Maintenance of Dominion Accounts. The Obligors shall maintain Dominion Accounts pursuant to lockbox or other arrangements reasonably acceptable to the Agent and shall establish such lockbox or other arrangement as provided in Section 9.1.13(a). The Agent and the Lenders assume no responsibility to the Obligors for any lockbox arrangement or Dominion Account, including any claim of accord and satisfaction or release with respect to any Payment Items accepted by any bank. The Obligors shall ensure that (a) all payments made by Canadian Borrowing Base Obligors into Deposit Accounts shall be made to such Deposit Accounts as are solely swept to Dominion Accounts that hold funds solely relating to assets of the Canadian Borrowing Base Obligors and (b) all payments made by U.S. Obligors into Deposit Accounts shall be made to such Deposit Accounts as are solely swept to Dominion Accounts that hold funds solely relating to assets of the U.S. Obligors.
