Maintenance of Existence and Business. Except for transactions among Consolidated Entities permitted under this Agreement, each Consolidated Entity shall maintain its fundamental existence, name, rights, and franchises, and shall maintain its qualification and good standing in all states in which such qualification is necessary, and shall continue to operate in the same type of business as such Consolidated Entity engages in as of the date hereof.
