Common use of Maintenance of Existence and Rights Clause in Contracts

Maintenance of Existence and Rights. Except as otherwise expressly permitted under this Agreement, each Obligor Party shall: (a) maintain and preserve its existence as a Delaware limited liability company, except, other than in the case of the Borrower, to the extent expressly permitted under this Agreement; and (b) take all reasonable actions to maintain all rights, privileges and franchises necessary in the normal conduct of its business except, in each case, as otherwise permitted by Section 6.04 or Section 6.07, and except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect.
