Maintenance of Existence; Compliance. (a) (i) Preserve, renew and keep in full force and effect its organizational existence and (ii) take all reasonable action to maintain or obtain all Governmental Approvals and all other rights, privileges and franchises necessary or desirable in the normal conduct of its business or necessary for the performance by such Person of its Obligations under any Loan Document, except, in each case, as otherwise permitted by Section 7.4 and except, in the case of clause (ii) above, to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect; (b) comply with all Contractual Obligations (including with respect to leasehold interests of the Borrower) and Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, reasonably be expected to have a Material Adverse Effect; and (c) comply with all Governmental Approvals, and any term, condition, rule, filing or fee obligation, or other requirement related thereto, except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect. Without limiting the generality of the foregoing, the Borrower shall, and shall cause each of its ERISA Affiliates to: (1) maintain each Plan in compliance in all material respects with the applicable provisions of ERISA, the Code or other Federal or state law; (2) cause each Qualified Plan to maintain its qualified status under Section 401(a) of the Code; (3) make all required contributions to any Plan; (4) not become a party to any Multiemployer Plan; (5) ensure that all liabilities under each Plan are either (x) funded to at least the minimum level required by law or, if higher, to the level required by the terms governing such Plan; (y) insured with a reputable insurance company; or (z) provided for or recognized in the financial statements most recently delivered to the Administrative Agent and the Lenders pursuant hereto; and (6) ensure that the contributions or premium payments to or in respect of each Plan are and continue to be promptly paid at no less than the rates required under the rules of such Plan and in accordance with the most recent actuarial advice received in relation to such Plan and applicable law.

Without limiting the generality of the foregoing, the Borrower shalland such Subsidiaries are not prohibited from doing so under applicable law, provided that cash and cash equivalents in any deposit or investment account owned by a Subsidiary may be retained by such Subsidiary and shall cause each of its ERISA Affiliates to: (1not be required under this Section 6.4(d) maintain each Plan in compliance in all material respects with to be distributed to the applicable provisions of ERISA, the Code or other Federal or state law; (2) cause each Qualified Plan to maintain its qualified status under Section 401(a) of the Code; (3) make all required contributions to any Plan; (4) not become a party to any Multiemployer Plan; (5) ensure that all liabilities under each Plan are either Borrower if (x) funded to at least the minimum level required by law or, if higher, Administrative Agent has received a fully executed account control agreement reasonably satisfactory to the level required by the terms governing Administrative Agent in form and substance covering such Plan; account or (y) insured with a reputable insurance company; or (z) provided for or recognized in the financial statements most recently if an account control agreement is not required to be delivered to the Administrative Agent pursuant to subsection (i), (ii) or (iii) of the proviso in Section 4.12 of the Pledge and Security Agreement, the Lenders pursuant hereto; Non-Guarantor Pledge and Security Agreement or the Limited Pledge and Security Agreement, as applicable and (6ii) ensure that to the contributions or premium payments extent there are legally available funds, pay in full the outstanding amounts of accounts payable owed to or in respect of each Plan are and continue the Borrower by NFPSI from time to be promptly paid at time no less frequently than the rates required under the rules of such Plan monthly and in accordance by its other Subsidiaries consistent with the most recent actuarial advice received in relation to such Plan and applicable lawpast practices.

Without limiting the generality ; (d) prevent any of the foregoingGovernmental Approvals from being revoked, rescinded, suspended, modified in an adverse manner or not renewed in the ordinary course for a full term to the extent such revocation, rescission, suspension, modification or nonrenewal has, or could reasonably be expected to have, a Material Adverse Effect; (e) maintain in effect and enforce policies and procedures designed to ensure compliance by the Loan Parties, their Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws, Anti-Money Laundering Laws and applicable Sanctions; provided that the requirements set forth in this Section 6.4(e), as they pertain to compliance by any Foreign Subsidiary with any US sanctions administered by OFAC, the Borrower shall, and shall cause each of its ERISA Affiliates to: (1) maintain each Plan in compliance in all material respects with the applicable provisions of ERISA, the Code or other Federal or state law; (2) cause each Qualified Plan to maintain its qualified status under Section 401(a) of the Code; (3) make all required contributions to any Plan; (4) not become a party to any Multiemployer Plan; (5) ensure that all liabilities under each Plan are either (x) funded to at least the minimum level required by law or, if higher, to the level required by the terms governing such Plan; (y) insured with a reputable insurance company; or (z) provided for or recognized in the financial statements most recently delivered to the Administrative Agent USA PATRIOT ACT and the Lenders pursuant heretoFCPA are subject to and limited by any Requirement of Law applicable to such Foreign Subsidiary in its relevant local jurisdiction that would limit or prohibit such compliance; and (6f) ensure that pay and discharge or otherwise satisfy at or before maturity or before they become delinquent, as the contributions case may be, all material taxes, assessments and governmental charges or premium payments to levies imposed upon the Collateral or other material obligations or in respect of each Plan are income or profits therefrom, as well as all material claims of any kind (including, without limitation, claims for labor, materials and continue supplies) against or with respect to the Collateral (other than Liens permitted under Section 7.3), except to the extent that the failure to do so could not reasonably be promptly expected to have a Material Adverse Effect; provided that that no such tax, assessment, charge, levy or claim need be paid at no less than if the rates required under amount or validity thereof is currently being contested in good faith by appropriate proceedings, with respect to which reserves have been taken in conformity with GAAP, and such proceedings could not reasonably be expected to result in the rules sale, forfeiture or loss of such Plan and in accordance with any material portion of the most recent actuarial advice received in relation to such Plan and applicable lawCollateral or any interest therein.
