Common use of Maintenance of Existence; Compliance Clause in Contracts

Maintenance of Existence; Compliance. The Borrower shall and shall cause each of its Significant Subsidiaries: (a) to preserve, renew and keep in full force and effect its organizational existence, except as otherwise permitted by Section 7.3 or 7.4; (b) to take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business, except (i) as otherwise permitted by Section 7.3 or (ii) to the extent that failure to do so could not, in the aggregate, reasonably be expected to have a Material Adverse Effect; and (c) to comply with all Requirements of Law, except to the extent that failure to comply therewith could not, in the aggregate, reasonably be expected to have a Material Adverse Effect.

The Borrower shall shall, and shall cause each of its Significant Subsidiaries: Subsidiaries to: (aa)(i) to pay, preserve, renew and keep in full force and effect its organizational existence, except as otherwise permitted by Section 7.3 or 7.4; existence and (bii) to take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business, except except, (iA) in each case, as otherwise permitted by Section 7.3 or 7.4 and (B) in the case of clause (ii) above, to the extent that failure to do so could not, in the aggregate, not reasonably be expected to have a Material Adverse Effect; and and (cb) to comply with all Contractual Obligations and Requirements of Law, except to the extent that failure to comply therewith could not, in the aggregate, reasonably be expected to have a Material Adverse Effect.
