Common use of Maintenance of Fund's Assets Abroad Clause in Contracts

Maintenance of Fund's Assets Abroad. The Trust, acting on behalf of the Fund’s,hereby instructs the Delegate pursuant to the terms of the Custody Agreement to place and maintain theFund’s Assets in countries outside the United States in accordance with Instructions received from theTrust. Such instruction shall constitute an Instruction under the terms of the Custody Agreement. The Trustacknowledges that (a) the Delegate shall perform services hereunder only with respect to the countrieswhere it accepts delegation as foreign custody manager; (b) depending on conditions in the particularcountry, advance notice may be required before the Delegate shall be able to perform its duties hereunderin or with respect to such country (such advance notice to be reasonable in light of the specific facts andcircumstances attendant to performance of duties in such country); and (c) nothing in this DelegationSchedule shall require the Delegate to provide delegated or custodial services in any country, and there mayfrom time to time be countries as to which the Delegate determines it will not provide delegation services.

Such instruction shall constitute an Instruction under the terms of the Custody Agreement. The Trustacknowledges that outside (a) the Custodian shall direct the Delegate shall to perform services hereunder only with respect to the countrieswhere it accepts delegation countries where the Delegate provides custodial services to the Fund as foreign custody managerindicated on the Delegate Global Custody Network Listing; (b) depending on conditions in the particularcountryparticular country, advance notice may be required before the Delegate Delegate, upon the Custodian's direction, shall be able to perform its duties hereunderin in or with respect to such country (such advance notice to be reasonable in light of the specific facts andcircumstances and circumstances attendant to performance of duties in such country); and (c) nothing in this DelegationSchedule Delegation Agreement shall require the Custodian to direct the Delegate to provide delegated or custodial services in any country, and there mayfrom may from time to time be countries as to which the Delegate determines it will not provide delegation services.
