Maintenance of Good Standing, and Qualifications. Except as permitted pursuant to Section 7.04, the Seller shall maintain its corporate existence, its corporate power and authority and all licences and approvals necessary to perform its obligations under this Agreement, each Series Purchase Agreement and each Related Document, to the extent that the failure to do so would have a material adverse effect on the rights of the Custodian, any Co-Owner or any Credit Enhancement Provider hereunder or thereunder.
