Common use of Maintenance of Good Standing Clause in Contracts

Maintenance of Good Standing. The Company will do or cause to be done all things necessary to preserve and keep in full force and effect its existence and rights to conduct its business under Cayman Islands law as currently contemplated in its Memorandum and Articles of Association. The Guarantor will do or cause to be done all things necessary to preserve and keep in full force and effect its existence. The Company and the Guarantor will comply with all laws, regulations, rules and orders of Brazil and the Cayman Islands, or any political subdivision thereof, which apply to its existence, property and business, including applicable environmental and labor laws, except to the extent such failure to comply would not individually or in the aggregate have a material adverse effect on the general affairs, business, prospects, management, financial position, stockholder’s equity or results of operations of the Company or the Guarantor.
