Common use of Maintenance of Intellectual Property and Other Intangible Collateral Clause in Contracts

Maintenance of Intellectual Property and Other Intangible Collateral. The Debtor shall preserve and maintain all rights of the Debtor and the Agent for the benefit of the Lenders in all material Intellectual Property and all other material intangible Collateral, including without limitation the payment of all maintenance fees and filing fees and the taking of all appropriate action at the Debtor's expense to halt the infringement of any of the Intellectual Property or other Collateral, provided that, with respect to halting the infringement of any Intellectual Property or other Collateral, the Debtor does not need to take all such appropriate action if the Debtor has, or after Event of Default the Agent has, reasonably determined that it is not in its best interest to demand or enforce cessation of such infringement or other conduct because it is either not material or because the adverse consequences to the Debtor would outweigh the benefits gained by such demand or enforcement.
