Common use of Maintenance of Intellectual Property Clause in Contracts

Maintenance of Intellectual Property. The Company will, and will cause each of its Subsidiaries to, take all reasonable action necessary or advisable to maintain all of the Intellectual Property Rights of the Company and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effect.

The Company willwill take all action, and will the Company shall cause each of its Subsidiaries toto take, take all reasonable action actions necessary or advisable to maintain and preserve all of the registered or applied for Intellectual Property Rights of owned by the Company and/or any of its Subsidiaries or such Subsidiary that are necessary or material (as determined by the Company in good faith) to the conduct of its business business, taken as a whole, in full force and effect.

The Company will, and will cause each of its Subsidiaries (other than TranS1 GmbH) to, take all reasonable action reasonably necessary or advisable to maintain all of the Intellectual Property Rights (as defined in the Purchase Agreement) of the Company and/or any of its such Subsidiaries that are necessary or material to the conduct of its business in full force and effect.

The Company willwill take, and will the Company shall cause each of its Subsidiaries toto take, take all reasonable action actions necessary or advisable to maintain and preserve all of the Intellectual Property Rights (as defined in the Securities Purchase Agreement) of the Company and/or any of its Subsidiaries or such Subsidiary that are necessary or material (as determined by the Company in good faith) to the conduct of its business in full force and effect.

The Company will, and will cause each of its Subsidiaries subsidiaries to, take all reasonable action necessary or advisable to maintain all of rights in and to the Company Intellectual Property Rights of the Company and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effectextent required pursuant to the Security Agreement.

Maintenance of Intellectual Property. The Company will, and will cause each of its Subsidiaries to, take all reasonable action necessary or advisable to maintain all of the Intellectual Property Rights (as defined in the Securities Purchase Agreement) of the Company and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effect, except in the case that any such failure to so maintain, preserve or comply has not had, and is not reasonably likely to have, a Material Adverse Effect.

The Company Corporation will, and will cause each of its Subsidiaries to, take all reasonable action necessary or advisable to maintain all of the Intellectual Property Rights of the Company Corporation and/or any of its Subsidiaries that are necessary or material to the conduct of its business in full force and effect.
