Common use of Maintenance of Licenses Clause in Contracts

Maintenance of Licenses. Seller shall (i) maintain all licenses, permits or other approvals necessary for Seller to conduct its business and to perform its obligations under the Program Documents, (ii) remain in good standing with respect to such licenses, permits or other approvals, under the laws of each state in which it conducts material business, and (iii) conduct its business in accordance with applicable law in all material respects.

Maintenance of Licenses. Seller shall (i) maintain all licenses, permits or other approvals necessary for Seller to conduct its business (except where the failure to be so qualified would not have a material adverse effect on the Seller, on the Loans or on the ability of Seller or its assigns to enforce the Loans) and to perform its obligations under the Program Documents, (ii) remain in good standing with respect to such licenses, permits or other approvals, under the laws of each state in which it conducts material business, and (iii) conduct its business in accordance with applicable law in all material respects.

Seller shall (i) maintain (or cause the Nominee to maintain, as applicable) all licenses, permits or other approvals necessary for Seller to conduct its business and to perform its obligations under the Program Documents, (ii) remain in good standing in each jurisdiction in which it is legally required to qualify to do business, (iii) comply in all material respects with respect to such licenses, permits or other approvals, under the all laws of each state in which it conducts material businessbusiness or any Mortgaged Property is located, and (iiiiv) conduct its business in accordance with applicable law in all material respects.
