Maintenance of Office, etc. The Issuer will not, without providing thirty (30) days’ prior written notice to the Trustee and without filing such amendments to any previously filed financing statements as the Trustee may require or as may be required in order to maintain the Trustee’s perfected security interest in the Collateral (for the benefit of the Secured Parties), (a) change its jurisdiction of organization or the location of its principal place of business, or (b) change its name, identity or corporate structure in any manner that would make any financing statement or continuation statement filed by the Issuer in accordance with this Indenture seriously misleading within the meaning of Section 9-506 of any applicable enactment of the UCC.

Maintenance of Office, etc. Unless the Seller provides not less than thirty days prior written notice to the Servicer and the Issuer and files such financing statements and amendments to financing statements as the Servicer or the Indenture Trustee may reasonably require, the Seller will not (i) change the location of its principal executive office or (ii) change its name, identity or corporate structure in any manner which would make any financing statement or continuation statement filed by or on behalf of the Seller in accordance with this Agreement seriously misleading within the meaning of Article 9-402(7) of the UCC.
