Common use of Maintenance of Patents or Copyright Clause in Contracts

Maintenance of Patents or Copyright. At its own expense, each Assignor shall make timely payment of all post-issuance fees and take all actions necessary to maintain in force its rights under each Patent or Copyright, absent prior written consent of the Collateral Agent, except to the extent that such Assignor has determined in its reasonable business judgment that the maintenance of such Patent or Copyright is no longer necessary in the conduct of its business. Assignor shall assure that proper statutory notice is used in conjunction with all products or services covered by any Patent or Copyright. Each Assignor shall, at its own expense, vigorously defend the validity and enforceability of any Patent in any proceeding or litigation.
