Common use of Maintenance of Patents or Copyrights Clause in Contracts

Maintenance of Patents or Copyrights. At its own expense, each Grantor shall make timely payment of all post-issuance fees required to maintain in force its rights under each issued Patent or registered Copyright, absent prior written consent of the Collateral Agent (other than any such Patents or Copyrights that are no longer material or are deemed by such Grantor in its reasonable business judgment to no longer be necessary in the conduct of Grantor’s business).

At its own expense, each Grantor shall make timely payment of all post-issuance fees required to maintain in force its rights under each material issued Patent or material registered Copyright, absent prior written consent of the Collateral Agent not to be unreasonably withheld (other than any such Patents or Copyrights that are no longer material or are deemed by such Grantor in its reasonable business judgment to no longer be necessary in the conduct of Grantor’s business).

At its own expenseExcept as consistent with such Grantor’s reasonable business judgment, each Grantor shall agrees, at its expense, to make timely payment of all post-issuance fees required to maintain in force its rights under each issued material Patent or registered Copyright, absent prior written consent of the Collateral Agent (other than any such Patents or Copyrights that are no longer material or are deemed by such Grantor in its reasonable business judgment to no longer be necessary in the conduct of Grantor’s business).
