Common use of Maintenance of Register by the Administrative Agent Clause in Contracts

Maintenance of Register by the Administrative Agent. The Administrative Agent, acting for this purpose as an agent of the Company, shall maintain at one of its offices in New York City a copy of each Assignment and Assumption delivered to it and a register for the recordation of the names and addresses of the Banks, and the L/C Commitments and the Commitments of, and principal amount (and stated interest) of the Loans and L/C Obligations owing to, each Bank pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive absent manifest error, and the Company, the Administrative Agent, the Issuing Lenders and the Banks shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Bank hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Company and any Bank, at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting for this purpose as an agent of the CompanyBorrower, shall maintain at one of its offices in New York City a copy of each Assignment and Assumption delivered to it and a register for the recordation of the names and addresses of the BanksLenders, and the L/C Commitments and the Commitments Commitment(s) of, and principal amount (and stated interest) of the Loans Loan(s), LC Exposure and L/C Obligations owing toSwingline Exposure held by, each Bank Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive absent manifest errorconclusive, and the CompanyBorrower, the Administrative Agent, the each Issuing Lenders Lender and the Banks shall Lenders may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Bank Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Company Borrower, any Issuing Lender and any BankLender, at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as an a non-fiduciary agent of the CompanyBorrower, shall maintain at one of its offices in New York City a copy of each Assignment and Assumption delivered to it and a register for the recordation of the names and addresses of the BanksLenders, and the L/C Commitments and the Commitments of, and principal amount of the Loans (and including stated interest) of the Loans and L/C Obligations owing to, each Bank Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive absent manifest error, and the CompanyBorrower, the Administrative Agent, the Issuing Lenders Agent and the Banks Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Bank Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Company and Borrower or any BankLender, at any reasonable time and from time to time upon reasonable prior notice.
