Maintenance of Rights and Property. The Borrower shall and shall cause each Subsidiary to (i) maintain its corporate existence, rights and franchises; (ii) observe and comply with all Governmental Requirements (other than any Governmental Requirement the violation of which, either individually or in the aggregate, would not have a Material Adverse Effect); and (iii) maintain its Property in good operating condition at all times and make all repairs, replacements, additions, betterments and improvements to its Property as are necessary or appropriate to enable the Borrower and each Subsidiary to conduct their respective businesses properly and efficiently at all times.
