Maintenance Service Fees. With respect to any Software that shall be provided to Customer for use on Customer premises or devices, if Coherent’s employees and/or contractors are required to travel on-site for the performance of any Software upon Customer’s request (including but not limited to the provision of training, installation and/or support maintenance if applicable), Customer shall pay for the reasonable related travelling costs incurred by Coherent (including but not limited to air ticket, hotel accommodation, food & beverage, local transportation, etc.)

Maintenance Service Fees. Fees for Maintenance Services shall be payable in accordance with Appendix A, Section 8J of DIR Contract No. DIR-TSO-3783.

Maintenance Service Fees. In consideration of the Maintenance Services rendered hereunder, Customer will pay the maintenance fee(s) on a prepaid quarterly basis for the Maintenance Term. The initial year of Maintenance Services shall be at a quarterly rate of sixty-five thousand ($65,000) dollars and shall be due upon execution of this Agreement. If Customer elects to extend the Maintenance Services into the second year of the Maintenance Term, the quarterly rate shall be one hundred twenty-seven thousand five hundred ($127,500) dollars. The quarterly rate for the third year shall be ninety-six thousand two hundred fifty dollars ($96,250) per quarter plus escalation from the end of year one at the rate of the ▇▇▇▇▇▇▇▇▇ and Associates, Inc. Compensation Survey for Cost Zone 4 Seattle Index. If payment is not made in accordance with the payment terms for Maintenance Services and Additional Services under this Agreement, STS shall have the right to cease providing Maintenance Services until the payment is received by STS. If any payment is not received within thirty (30) days after the date due, and STS has previously provided Customer with notification in writing that payment has not been made at least fifteen (15) days prior to the end of the thirty (30) day period, STS shall have the right to terminate providing Maintenance Services. Customer shall be responsible for procuring, installing and maintaining all equipment, telephone lines, and communication interfaces, including STS remotely accessing the Software on Customer’s system for the purpose of performing the Maintenance Services. If STS agrees to maintain the Software which contains enhancements/Modifications made at the request of Customer and paid for by Customer as Additional Services and not made a part of the Software, an additional fee may be charged for such Maintenance Services.

Maintenance Service Fees. The Supervisor will pay the Contractor for its maintenance services hereunder a monthly service fee of $1,420 per month, in arrears. At the end of each calendar year, this fixed monthly fee will be increased or decreased by an amount equal to the change in the Consumer Price Index (CPI) during such year, except as modified below. For purposes of calculating the amount payable to the Contractor, the change in the CPI means the increase or decrease (if any) in the U.S. Department of Labor, Bureau of Labor Statistics, Consumer Price Index for all Urban Consumers (CPI-U) for the St. Louis area during the 12-month period beginning January 1 of the year before the year for which the fee is being calculated and ending the following December 31. Notwithstanding the above, during the first three years of this Contract, there will be no CPI adjustment to the fee if (1) the City initiates a furlough program or the Board of Aldermen does not approve a cost of living increase due to budgetary constraints, and/or (2) the annual change in the CPI is not 1.75 percent or greater. The annual CPI adjustment shall not exceed three percent for any single year.

Maintenance Service Fees a. Annual Maintenance Service Fee TELUPAY has agreed to waive the Annual Maintenance Service Fee of Four Hundred Twenty Thousand Pesos (P420,000.00) for the duration of the SLA which shall run for five (5) years starting from ninety (90) days from the date the TELUPAY Services are in production and/or in commercial use by the MEGALINK and/or any of the MEGALINK Members b. For works which requires TELUPAY personnel to provide services outside Metro Manila, the cost of transportation and accommodation shall be reimbursed by MEGALINK.

Maintenance Service Fees. If the Maintenance Technician is out on approved leave time the Manager will supply another staff member to perform the duties of the Maintenance Technician. General maintenance services shall be paid at the rate of $60 per hour. Heating, Ventilation, and Air Conditions (“HVAC”) services will be paid at a rate of $120 per hour.

Maintenance Service Fees. In consideration for the Maintenance Services provided by ChannelPoint, Zurich shall pay annual Exchange Maintenance Service Fees equal to [...***...] of the total Commerce Exchange Platform Fees. In the event that ChannelPoint must pay maintenance fees for Third-Party Software [...***...] of the applicable license fee, ChannelPoint will invoice Zurich for such excess fees. In consideration for the Maintenance Services provided by ChannelPoint for any ChannelPoint-developed or supplied Application to an Affiliate, Zurich (or the applicable Affiliate) shall pay ChannelPoint an Application Maintenance Service Fee equal to [...***...] of the Application Development Fee plus the Application Deployment Fees specified in Section 7.2(a) above paid by the applicable Affiliate. The Exchange Maintenance Service Fees will be established on the delivery of the Commerce Exchange Platform and on each anniversary of such date, subject to pro rata adjustment based on increases in the Commerce Exchange Platform Fees during the prior year. The Application Maintenance Service Fees will be established upon deployment of each Application and upon each anniversary date of such deployment. All Maintenance Service Fees shall be paid on the basis of a calendar year in accordance with the Maintenance Service Fee schedule attached hereto as Exhibit I.

Maintenance Service Fees. Customer shall pay the fees in respect of the Initial Service Term or any Renewal Service Term (at Pitney ▇▇▇▇▇' then- current rates) within thirty (30) days of the date of Pitney ▇▇▇▇▇' invoice Notwithstanding anything to the contrary contained herein, Pitney ▇▇▇▇▇ shall in no event be obligated to provide any Maintenance Services before receiving full payment on the applicable invoice.
