Major Suppliers. Schedule 3.18.(b) contains a list of the ten (10) largest suppliers to Company for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of purchases) showing the total dollar amount of purchases from each such supplier during each such year. Neither Company nor any Shareholder has any knowledge or information of any facts indicating, nor any other reason to believe, that any of the suppliers listed on Schedule 3.18.
Major Suppliers. Schedule 4.19.(b) contains a list of the ten (10) largest suppliers to each Seller for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of purchases) showing the total dollar amount of purchases from each such supplier during each such year. Neither any Seller nor any Member has any knowledge or information of any facts indicating, nor any other reason to believe, that any of the suppliers listed on Schedule 4.19.(b) will not continue to be suppliers to the business of Sellers after the Closing and will not continue to supply the business with substantially the same quantity and quality of goods at competitive prices.
Major Suppliers. For Major Suppliers, Grant Recipient agrees to and shall consult the New York Offshore Wind Supply Chain Database, and shall use commercially reasonable efforts to source and procure components, materials, equipment, spare parts and other items necessary to construct the Supply Chain Facility from supply chain and manufacturing facilities located in New York State. Grant Recipient shall report Major Supplier procurement efforts in accordance with Section X. Xxxxx Recipient shall include this requirement in all subcontracts with its Major Suppliers.
Major Suppliers. (a) A comprehensive listing of all suppliers of goods and services to the Corporation (including suppliers of goods and services to the Corporation's customers, which are arranged for by the Corporation), where the value of the goods or services supplied by such supplier exceeded $25,000, in each case individually or in the aggregate, during the 12 month period ending on the Balance Sheet Date.
(b) True and complete copies of all Contracts with those suppliers of goods and services for the Business (or for customers of the Business) referred to in subsection 4.14(a) have been made available to the Purchaser. The Corporation has not received any written communication that any of such Contracts will not be honoured in the ordinary and usual course of business consistent with the past experience of the Business.
(c) Except as disclosed in Schedule 4.14 of the Disclosure Schedules, the Corporation is not subject to any Contract under which the Corporation has made any commitment or is subject to any obligation or would suffer any penalty (financial or otherwise) as a result of a failure to acquire, or arrange for the acquisition of, a specified minimum volume of products or services.
(d) Except as disclosed in Schedule 4.14, the Corporation is not subject to any Contract involving a commitment of exclusivity whereby its ability, or the ability of its Affiliates, to acquire goods or services from any Person would be restricted in any manner.
(e) To the knowledge of the Corporation, none of the suppliers included in the list referred to in subsection 4.14(a) has any intention to change its relationship or the terms upon which it conducts business with the Corporation, including as a result of the transactions contemplated by this Agreement.
Major Suppliers. 1. A major supplier is a supplier which has the ability to materially affect the terms of participation having regard to price and supply in the relevant market for basic telecommunications services as a result of:
(a) control over essential facilities; or
(b) the use of its position in the market.
2. Appropriate measures shall be maintained for the purpose of preventing suppliers who, alone or together, are a major supplier from engaging in or continuing anti-competitive practices.
3. The anti-competitive practices referred to above shall include in particular:
(a) engaging in anti-competitive cross-subsidisation;
(b) using information obtained from competitors with anti-competitive results; and
(c) not making available to other services suppliers on a timely basis technical information about essential facilities and commercially relevant information which are necessary for them to supply services.
Major Suppliers. Schedule 5.16(b) of the Disclosure Schedule contains a list of the two (2) major suppliers to the Business for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of purchases); showing the total dollar amount of purchases from each such supplier during each such year. Company has no knowledge or information of any facts indicating, nor any other reason to believe, that any of the suppliers listed on Schedule 5.16(b) of the Disclosure Schedule will not continue to be suppliers to the Business after the Closing and will not continue to supply the Business with substantially the same quantity and quality of goods at competitive prices.
Major Suppliers. Except as disclosed in Schedule 3.11, and other than insurance companies or insurance brokers, there are no suppliers or consultants from whom the Company has purchased goods and/or services (collectively, the "Major Suppliers"), the loss of which would cause a material adverse effect on the business, results of operations or financial condition of the Company or the Surviving Corporation. No Major Supplier has expressed to the Company, Xxxxxx or Xxxxxxx its intention to cancel or otherwise terminate its relationship with the Company or the Surviving Corporation.
Major Suppliers. Schedule 4.26.2 contains a list of the fifteen (15) largest suppliers to the Acquired Business for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of purchases) showing the total dollar amount of purchases from each such supplier during each such year. None of the suppliers listed on Schedule 4.26.2 has provided notice that it will not continue to be a supplier to the Acquired Business after the Closing with substantially the same quantity and quality of goods at competitive prices.
Major Suppliers. The Company Disclosure Letter sets forth the ten largest suppliers of the Company in terms of costs recognized for the purchase of products or services during the fiscal year ended on the Audit Date (the “Suppliers“). As of the date of this Agreement, the Company has not received any written or oral notice from any of the Suppliers of a plan or intent to, and to the Knowledge of the Company none of the Suppliers plan or intend to, terminate, cancel or otherwise adversely modify its relationship with the Company or to decrease materially or limit its products to or services to the Company.
Major Suppliers. SCHEDULE 4.18 contains a list of the five (5) largest suppliers (other than alcoholic beverages) to the Seller for the last twelve (12) months (determined on the basis of the total dollar amount of purchases) showing the total dollar amount of purchases from each such supplier during the last twelve months. The Seller does not have any knowledge or information of any facts indicating, nor any other reason to believe, that any of the suppliers listed on SCHEDULE 4.18 will not continue to be suppliers to the business of the Seller after the Closing Date and will not continue to supply the business with substantially the same quantity and quality of goods at competitive prices.
