Common use of Majority of Registrable Securities Clause in Contracts

Majority of Registrable Securities. For purposes of determining what constitutes holders of a majority of Registrable Securities, as referred to in this Agreement, a majority shall mean holders of a majority of the Underlying Ordinary Shares that constitute Registrable Securities, treating (i) each holder of Notes that constitute Registrable Securities as the holder of the Underlying Ordinary Shares represented by the Underlying ADSs issuable upon conversion of such Notes as if such Notes were convertible solely into ADSs (without regard to the Company's right to elect full or partial cash settlement upon conversion of the Notes pursuant to the Indenture), and (ii) treating each holder of ADSs (if any) that constitute Registrable Securities as the holder of the Underlying Ordinary Shares represented by such ADSs.
