Majority Vote Standard. Subject to Section 9.8, resolutions of any Board meeting shall be passed with the approval of more than half of the Directors present at the meeting.
Majority Vote Standard. Unless otherwise provided hereunder (including Section 4) or required by the Applicable Laws, resolutions of any Board meeting of the Company shall be passed with the approval of a simple majority of the directors present at the meeting.
