Common use of Majority Clause in Contracts

Majority. For purposes of this Agreement, the term "Majority" in reference to the Holders of the Warrant Agreements, shall mean in excess of fifty percent (50%) of the then outstanding warrants issued under the Warrant Agreements or Total Warrant Shares that (y) are not held by the Company, an affiliate, officer, creditor, employee or agent thereof or any of their respective affiliates, members of their family, persons acting as nominees or in conjunction therewith and (z) have not been resold to the public pursuant to a registration statement filed with the Commission under the Act.
