Common use of Majority Clause in Contracts

Majority. Whenever any matter is required or allowed to be approved by a Majority of the Members under the Act or this Agreement, such matter shall be considered approved or consented to upon the receipt of the affirmative approval or consent, either in writing or at a meeting of the Members, of Members having Sharing Ratios in excess of one half of the aggregate Sharing Ratios of all the Members entitled to vote on a particular matter.
