Common use of Majority Clause in Contracts

Majority. In addition to all other powers conferred on the Partners by this Agreement, the following acts and decisions shall require the consent of the Partners holding at least two-thirds (2/3) of the total number of Units issued and outstanding at such time: (a) the removal of the General Partner and the appointment of a new General Partner of the Partnership; (b) the continuance of the Partnership if the Partnership is terminated by operation of law; (c) the sale of all or substantially all the assets of the Partnership; (d) subject to Article 14, an amendment to this Agreement; and (e) the dissolution or winding-up of the Partnership.
