MANAGEMENT FEE, EXPENSE. To the extent that Management Fee expense is treated as an item paid or incurred by the Company (as opposed to the Member making the payment in respect thereof) the Managing Member shall specially allocate Management Fee expense to the Members in accordance with their payments in respect thereof.
