Management Incentive Plan. The terms and conditions of the Management Incentive Plan are hereby incorporated herein by reference, and the Executive and the Company shall comply with all of the terms thereof applicable to annual incentive awards. In the event of any conflict between the terms of this Agreement and the terms of the Management Incentive Plan, the terms of the Management Incentive Plan shall govern.
