MANAGEMENT OBLIGATIONS OF THE GENERAL PARTNER. The General Partner shall devote such time to the Partnership as may be necessary to manage and supervise the Partnership business and affairs, but nothing in this Agreement shall preclude the General Partner, at the expense of the Partnership, from employing any IASIS Affiliate or a third party to provide management or other services to the Partnership, subject always, however, to the control of the General Partner. Any transaction between the Partnership and the General Partner, IASIS or any IASIS Affiliate is hereby expressly authorized, provided that the General Partner uses its best efforts to ensure that the terms of such transactions are generally no less favorable to the Partnership than the terms that would be made available to the Partnership in arm's length transactions with independent third parties.
