Management of Borrower. The Borrower will cause Universal or a Subsidiary or Affiliate of Universal at all times to manage the Theme Parks, provided that the Borrower may upon the prior written consent of the Required Banks, which consent shall not be unreasonably withheld, replace such legal entity with a new manager.
